Certain investment opportunities presented by HavenBridge Capital, LLC ("HavenBridge Capital," "we," "us," or "our") may be offered pursuant to Regulation D under the Securities Act of 1933, as amended.
Under these regulations, participation in certain private investment offerings may be limited to individuals or entities that qualify as Accredited Investors.
What Is an Accredited Investor?
An Accredited Investor is defined by the U.S. Securities and Exchange Commission (SEC) under Rule 501 of Regulation D.
A person may qualify as an Accredited Investor if they meet one or more of the following criteria.
Income-Based Qualification
An individual whose income exceeds:
- $200,000 per year individually, or
- $300,000 per year jointly with a spouse or spousal equivalent
for the two most recent years, and who reasonably expects to maintain the same income level in the current year.
Net Worth Qualification
An individual whose net worth exceeds $1,000,000, either individually or jointly with a spouse or spousal equivalent, excluding the value of the individual's primary residence.
Net worth may include assets such as:
- Cash and bank accounts
- Investment accounts
- Stocks and bonds
- Real estate (excluding primary residence)
- Business ownership interests
- Other investment assets
Professional Certification Qualification
Individuals holding certain financial professional certifications may also qualify as Accredited Investors, including:
- Series 7 license
- Series 65 license
- Series 82 license
Other credentials recognized by the SEC may also qualify.
Entity-Based Qualification
Entities may also qualify as Accredited Investors if they meet certain criteria, including:
- Corporations, partnerships, or LLCs with assets exceeding $5,000,000
- Trusts with assets exceeding $5,000,000 whose investments are directed by a sophisticated person
- Entities in which all equity owners are Accredited Investors
- Family offices with at least $5,000,000 in assets under management
Verification of Accredited Status
For certain offerings, HavenBridge Capital may take reasonable steps to verify accredited investor status, which may include:
- Review of tax returns
- Review of bank or brokerage statements
- Verification by a licensed attorney, CPA, or financial advisor
- Third-party verification services
No investment will be accepted until investor qualification requirements have been satisfied.
Investor Responsibility
Each prospective investor is responsible for determining whether they meet the criteria to qualify as an Accredited Investor and whether an investment is appropriate based on their:
- Financial condition
- Investment objectives
- Risk tolerance
